About Me

I was an attorney at Miller Nash for 15 years, having receiving a BA from Vassar College and a JD and Federal Tax Certification from Lewis and Clark College. I left at the end of 2011 to start my own practice. At the firm, I started out in tax litigation, migrated to business transactions and general business work. I have experience in complex commercial transactions, tax litigation and analysis, and renewable energy development and financing. As a Partner at Miller-Nash, I worked with clients on a variety of complex transactions in a diverse collection of industries, including developers, power producers, and investors in renewable energy projects, on topics including biomass, geothermal, solar, wind, and ocean energy in the Pacific Northwest.

I advise on state and federal tax incentives, structuring and governance, and financing; negotiate all types of contracts, and assist with general business matters.

This breadth of experience means I can help you handle the myriad of important details critical to the success of your project or transaction. At the same time, I understand the big picture and will keep your broader goals in focus.

I have formed companies and prepared organizational documents, such as LLC operating agreements, articles of incorporation, bylaws, stockholder agreements. My experience also includes helping businesses buy and sell things, like equipment, other companies, other companies' assets, and put down in writing the details of their relationships with other businesses, such as suppliers, vendors, consultants, partners, financing sources, government agencies, and co-developers. I have negotiated with taxing authorities, other government agencies, investment bankers, stakeholders, and (of course) other lawyers. I've helped businesses understand and comply with regulations. I have helped businesses reorganize their own legal relationships, and I have helped businesses facing financial distress (in my case, that has primarily meant dealing with distressed financial assets).

Business Model

What works for you? I can work in your office or I can work remotely. I communicate by phone, text, email, regular mail (but not that often anymore!), skype, or over a cup of coffee. I send out bills monthly and expect payment within 30 days.

Fees

Hourly Billing: Like most attorneys, I generally bill hourly. I have a standard rate, but I am flexible, and the more we get to know each other, the easier it becomes to create customized billing arrangements (e.g., project based, transaction specific, flat rates for certain services).

Monthly Access: If you have a pretty good idea that you will need some amount legal services each month but you are not sure how much, you could sign up for the Monthly Access Fee arrangement. You pay in advance each month for 15 hours of access at 20 percent discount from the general hourly rate, and you call me when you need me. I can provide weekly or bi-weekly reports on hours remaining, if you wish. If you exceed 15 hours in a month, the regular rate applies. If 15 hours a month doesn't sound right for you, let's talk.

Who You Are

1. Are you an in-house attorney? Maybe you run the legal department, maybe you are the legal department. Are there times when you just can't get everything done? You are stretched too thin? It could be because of a large business transaction or project, an unexpected spike in work, an approaching deadline, or perhaps you just lost a staff member and have a temporary hole in your team.

Whatever the reason, I can help. I was a business lawyer for 15 years at a large law firm. Now, I'm my own boss, and have the flexibility and experience to provide you support when you need it most.

2. You are a busy executive; you wear many hats. But lawyer is not one of them. It's not that you need a lawyer or a law firm all the time, but when you have a question, a problem, an idea, or an opportunity to pursue you want to know your lawyer is there, is available, and is paying attention.

Of course, some situations call for a full-service law firm. But not most. For those times, you can call on me. I am responsive, work to understand your business needs as well as your legal needs, and give candid, practical advice.

I was part of a full-service law firm for 15 years. Now, it's just my name on the door. I am able to give you and your business the attention you need, when you need it. I can get up to speed quickly, evaluate a situation or set of facts holistically, and provide effective and practical service.

3. You are a fellow attorney, working in a law firm, and doing your best to keep your clients and to keep your clients happy. But what if a client calls and you have a conflict? Referring your client to another law firm presents risks; law firms are hungry. In those situations, I can help.

I was trained in a full-service law firm, but now I work solo. I am not a full- service attorney. And I don't want to be. So, your client is safe with me. I am happy to help your clients on discrete business matters when you can't. I will treat them well, provide excellent and practical legal services, and return them happy.
